These Terms & Conditions ("Terms") govern your access to and use of the FlowPotato platform and services. By accessing or using our services, you agree to be bound by these Terms. If you do not agree, please do not use our services.

1. Use of Services

You agree to use our services only for lawful purposes and in accordance with these Terms. You shall not:

  • Access or attempt to access the services through unauthorized means
  • Interfere with or disrupt the integrity or performance of the services
  • Attempt to reverse engineer, decompile, or disassemble any part of the platform
  • Upload malicious code, viruses, or harmful content
  • Use the services to violate any applicable laws or regulations
  • Resell, sublicense, or redistribute the services without authorization

2. Accounts

To access certain features, you must create an account. You are responsible for:

  • Maintaining the confidentiality of your login credentials
  • All activities that occur under your account
  • Providing accurate and complete information
  • Promptly notifying us of any unauthorized access

We reserve the right to suspend or terminate accounts that violate these Terms or for any other reason at our discretion.

3. Services & AI Functionality

FlowPotato provides an AI-powered retail operations platform that includes inventory intelligence, demand forecasting, and decision support tools.

Important Disclaimers:

  • AI outputs are probabilistic and advisory in nature
  • We do not guarantee the accuracy, completeness, or reliability of AI-generated insights
  • You are solely responsible for decisions made based on AI recommendations
  • Human review and judgment should be applied to all significant business decisions
  • AI capabilities may evolve and change over time

4. Customer Data

You retain all ownership rights to the data you upload to or create within our platform ("Customer Data"). By using our services, you grant us a limited license to:

  • Process your data to provide and improve the services
  • Generate aggregated, anonymized insights (which do not identify you)
  • Store and back up your data as necessary for service delivery
  • Comply with legal obligations

You represent that you have the necessary rights to upload and process the data you provide, and that your use complies with all applicable data protection laws.

5. Payments & Subscriptions

  • Fees are based on the subscription plan you select
  • All fees are non-refundable unless otherwise stated
  • We may use third-party payment processors to handle transactions
  • Failure to pay may result in suspension or termination of services
  • We reserve the right to modify pricing with reasonable notice

6. Intellectual Property

All intellectual property rights in the platform, including software, designs, trademarks, and content (excluding Customer Data), belong to FlowPotato or our licensors. You may not:

  • Copy, modify, or distribute our intellectual property
  • Use our trademarks without written permission
  • Create derivative works based on our platform
  • Remove or alter any proprietary notices

7. Confidentiality

Both parties agree to protect confidential information disclosed during the course of using the services. Confidential information includes business data, technical information, and any information marked as confidential. This obligation survives termination of these Terms.

8. Disclaimer of Warranties

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

We do not warrant that the services will be uninterrupted, error-free, or secure, or that any defects will be corrected.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, FLOWPOTATO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITIES, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES.

Our total liability for any claims arising under these Terms shall not exceed the fees paid by you in the twelve (12) months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless FlowPotato and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including legal fees) arising from your use of the services, violation of these Terms, or infringement of any third-party rights.

11. Termination

Either party may terminate these Terms at any time. We may suspend or terminate your access immediately if you violate these Terms or pose a security risk. Upon termination:

  • Your right to access the services ceases immediately
  • You may request export of your Customer Data within 30 days
  • Provisions that should survive termination (confidentiality, limitation of liability, etc.) remain in effect

12. Governing Law

These Terms are governed by the laws of England and Wales, without regard to conflict of law principles. Any disputes shall be resolved in the courts of England and Wales.

13. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes by posting the updated Terms and revising the "Last Updated" date. Your continued use of the services after changes constitutes acceptance of the updated Terms.

14. General

  • Entire Agreement: These Terms constitute the entire agreement between you and FlowPotato regarding the services.
  • Severability: If any provision is found unenforceable, the remaining provisions remain in effect.
  • Waiver: Failure to enforce any right does not constitute a waiver of that right.
  • Assignment: You may not assign these Terms without our consent. We may assign our rights freely.
